INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement ("Agreement") is made and entered into as of the date of acceptance by both parties, by and between Candid Capture Inc., a corporation registered in the state of Florida ("Company"), and the undersigned contractor ("Contractor").
1. CANDID CAPTURE INC. – A BUSINESS BUILT ON YEARS OF EXPERTISE
1.1 Contractor acknowledges that by entering into this agreement, they are gaining access to four years of intense dedication, innovation, and refinement that have gone into perfecting Candid Capture’s business model.
1.2 This system is not just a product—it is the result of relentless trial, error, and mastery in the art of professional photography, business strategy, and customer engagement.
1.3 Working with Candid Capture means being personally backed by the person who has built this model from the ground up. The Contractor understands that their success is directly tied to their ability to uphold the standards and strategies that have been developed over these years.
1.4 Loyalty is everything. Remaining loyal to the brand ensures ongoing support, business growth, and direct access to the very knowledge and expertise that make this opportunity possible.
1.5 The Contractor acknowledges that Candid Capture is offering them the ability to step into a proven business model, bypassing years of struggle, mistakes, and uncertainty—an opportunity that is invaluable.
2. INDEPENDENT CONTRACTOR STATUS
2.1 Contractor acknowledges that they are an independent contractor and not an employee, agent, or representative of the Company.
2.2 Contractor is responsible for all taxes, insurance, and other withholdings related to their earnings from the Company.
2.3 Contractor is not entitled to employee benefits, including health insurance, retirement contributions, or paid leave.
3. SERVICES & EXPECTATIONS
3.1 Service Agreement
The Contractor agrees to provide photography services using the One Piece Solution and must follow Candid Capture Inc.’s pricing, sales process, and customer interaction guidelines.
3.2 Commission Structure
Contractors will receive a 60% commission per completed sale, with payments made weekly based on recorded transactions.
3.3 Photography Service Pricing
$20 for candid photos
$75 for 15-minute sessions
$125 for 30-minute sessions
$200 per hour
Any pricing changes the photographer would like to make must be agreed upon in writing with Korie Mastin. Candid Capture Inc. reserves the right to establish a standard price per state, which all photographers must uphold unless a different rate is agreed upon in writing.
3.4 Instant Delivery Requirement
Contractors must ensure that all photos are delivered immediately upon payment verification via AirDrop (iPhone users) or WhatsApp (Android users). This applies to all candid interactions and bookings lasting under one hour.
3.5 Booking Obligations
Once a Contractor accepts a booking, they must complete it to receive payment. Failure to complete a booking will result in forfeiture of earnings for that session, and the session may be reassigned at the Company’s discretion.
3.6 Candid Interactions
Candid Interactions define the core service of Candid Capture Inc. Contractors identify individuals in public who stand out—whether due to their style, energy, or presence—and capture candid photos in real time without prior consent, but with full transparency through instant display on the screen.
3.7 Engagement & Customer Interaction
Contractors may offer brief words of encouragement to help subjects embrace their moment, whether through a smile, compliment, or positive acknowledgment. The interaction should feel effortless and uplifting, with no pressure or forced engagement.
3.8 Sales Process & Approach
If the subject asks how much the service costs, Contractors must follow the official pricing script to explain available options. If the subject does not ask about pricing, simply hand them a Candid Tag—many will follow up later. No hard selling—Candid Interactions are built on authenticity and exclusivity, letting the photos and experience create demand naturally. This policy ensures seamless execution, professionalism, and high customer engagement, reinforcing Candid Capture Inc.’s reputation for premium, real-time photography.
3.9 Client Agreement Terms
Contractors must be fully aware of the terms that clients agree to when booking a session. These terms outline the expectations regarding payment, delivery, guest cooperation, liability, and more. Contractors are responsible for ensuring that sessions are conducted in alignment with these terms and that clients understand what they have agreed to.
Customer Agreement Terms:
This policy ensures seamless execution, professionalism, and high customer engagement, reinforcing Candid Capture Inc.’s reputation for premium, real-time photography. 🚀3.6 Client Agreement Terms:
Contractors must be fully aware of the terms that clients agree to when booking a session. These terms outline the expectations regarding payment, delivery, guest cooperation, liability, and more. Contractors are responsible for ensuring that sessions are conducted in alignment with these terms and that clients understand what they have agreed to.
(Customer terms below listed 1-16.)
1️⃣ I understand that my photos will be adjusted in real-time through camera settings and that no post-production editing will be provided. *
2️⃣ I acknowledge that instant delivery is only available for iOS users via AirDrop. Android users must scan a QR code or receive images via WhatsApp on the spot (at photographers discretion) or after the event. *
3️⃣ I acknowledge that unlimited photos will be taken for the duration of my booking. *
4️⃣ I acknowledge that all payments made are final and non-refundable, regardless of session changes, cancellations, or dissatisfaction with artistic style. * *
5️⃣ I agree that a 50% deposit is required to confirm the booking, and the remaining balance must be paid in full before the event begins. Failure to pay on time will result in cancellation without a refund. *
6️⃣ I acknowledge that no changes to my booking (event date, time, or services) can be made within 25 days of the event. *
7️⃣ I understand that GoPro footage will be recorded, but delivery of video clips is not guaranteed. If video files are provided they will be as captured, with no additional editing. *
8️⃣ I acknowledge that Candid Capture Inc. is not liable for unforeseen circumstances beyond their control, such as weather, venue restrictions, guest cooperation, or technical malfunctions. *
9️⃣ I grant Candid Capture Inc. the right to use my images and footage for promotional purposes unless I explicitly request otherwise before the event. *
🔟 I agree to provide full venue access and obtain any required permits for the photographer to perform services at the scheduled time. *
1️⃣1️⃣ I understand that I am responsible for ensuring guests cooperate with the photography process, including posed moments and the distribution of custom QR tags (if Purchased). *
1️⃣2️⃣ I acknowledge that I have full rights to use all images and video footage for personal and commercial purposes. *
1️⃣3️⃣ I agree that any disputes will first be resolved through mediation in the state where the event took place (Florida, Maryland, Washington D.C., Virginia, or Puerto Rico) before legal action is pursued. *
1️⃣4️⃣ I acknowledge that this agreement is governed by the laws of Florida, Maryland, Washington D.C., Virginia, and Puerto Rico and constitutes the final agreement between both parties. *
1️⃣5️⃣ I agree bookings lasting one hour and up. Instant delivery will be attempted for all guests, a USB drive containing all photos will be provided to the primary booking client within 24 to 48 hours after the event, unless it must be mailed. *
1️⃣6️⃣ I acknowledge that Candid Capture Inc. reserves the right to cancel the booking and return any payments if we are unable to fulfill the booking.
3.10 Brand Representation & Conduct
The Contractor acts as a direct representative of Candid Capture Inc. while performing photography services. They are expected to uphold the highest level of professionalism in appearance, customer interactions, and execution of services. Any failure to uphold these standards may result in contract termination.
3.11 Sales Script Agreement
To maintain brand consistency, Contractors must use the following sales script:
"My name is (Photographer’s Name), this is Candid Capture. We take paparazzi-style photos of people in public. All we charge is $20. You get all the photos you see here, and you get one more chance in front of our camera. You get all the photos instantly delivered to your phone."
Contractors agree to end every Candid interaction with a polite “I love you.”
4. EQUIPMENT & LIABILITY
4.1 One Piece Solution Ownership & Color Selection:
Contractor will receive a plain One Piece Solution in the color of their choice, selected after purchase.
4.2 Tag Distribution Policy:
Contractor will receive:
100 Mini QR Tags to drive traffic to their business in their direction.
5 Tappable QR Tags linking to a customer-facing landing page for instant payments.
Tags will be issued only as needed, ensuring controlled distribution for maximum impact.
4.3 Liability for Equipment & Loss:
If the Contractor loses or damages rented or provided equipment, they must replace it at their own expense and resume services without delay. Failure to do so may result in termination of their contract with Candid Capture Inc.
4.4 Use of Equipment Post-Termination:
Contractors must complete or extend their 12-month contract to retain ownership of their One Piece Solution device.
If a Contractor terminates their contract before the 12-month period. They agree to return all provided equipment & forfeit all funds paid towards the provided equipment immediately and pay a $2,000 early termination fee.
Each case of early termination will be individually reviewed by Korie Mastin to determine any exceptions.
Upon completing the full contract term, Contractors will have the freedom to continue using their One Piece Solution for photography services outside the scope of Candid Capture Inc.'s offerings. However, they will no longer be affiliated with Candid Capture Inc., nor permitted to use its branding, marketing, or proprietary systems to conduct business.
If you do not want to be apart of this journey. DO NOT SIGN THIS AGREEMENT.
5. NON-COMPETE AGREEMENT
5.1 Exclusivity During Contract Term:
While contracted, the Contractor may not work for, start, or assist a competing business offering candid-style instant display and delivery photography.
5.2 Post-Contract Restrictions:
For two (2) years after termination, the Contractor may not replicate the instant delivery photography model or train others to do so.
5.3 Consequences for Violation:
A $25,000 penalty applies if the Contractor breaches this clause.
6. CONTRACT TERM & TERMINATION
6.1 Commitment Duration:
The Contractor agrees to a 12-month contract with Candid Capture Inc.
6.2 Early Termination Consequences:
If the Contractor leaves before 12 months, they must:
Return the One Piece Solution
OR pay a $7,000 early termination fee
6.3 Grounds for Immediate Termination:
The Company reserves the right to terminate this contract immediately if the Contractor:
Fails to deliver photos properly
Misrepresents the brand
Violates non-compete policies
7. CONTRACT SIGNING & AUTOMATION
7.1 Automated Contract Delivery & Signature Requirement:
Upon purchase of the $3,300 Instant Display & Delivery System, the Contractor will receive an automated contract link via email (DocuSign, HelloSign, or similar).
The Contractor must digitally sign the agreement before equipment is shipped.
8. NON-DISCLOSURE AGREEMENT
8.1 Confidential Information
Contractors acknowledge that during their engagement with Candid Capture Inc., they may have access to confidential and proprietary information, including but not limited to business operations, trade secrets, client data, pricing strategies, software, hardware designs, marketing plans, and technical processes.
8.2 Obligation of Confidentiality
Contractors agree to:
Keep all confidential information strictly private and not disclose it to any third party without prior written consent from Candid Capture Inc.
Use confidential information solely for the purpose of performing their contractual obligations with Candid Capture Inc.
Take reasonable measures to prevent unauthorized access, disclosure, or use of confidential information.
8.3 Non-Competition & Restricted Use
Contractors shall not:
Use confidential information to create, operate, or support a competing business that offers similar services to Candid Capture Inc. during the contract term and for two (2) years after termination.
Replicate, reverse-engineer, or modify proprietary technology, including the One Piece Solution, without express written permission.
8.4 Return or Destruction of Confidential Information
Upon termination of their contract, Contractors must return or destroy any confidential materials in their possession, including physical documents, digital files, and proprietary software.
8.5 Breach & Legal Remedies
Any unauthorized disclosure or misuse of confidential information will be considered a material breach of contract, subjecting the Contractor to legal action, including but not limited to monetary damages, injunctive relief, and forfeiture of any remaining compensation.
8.6 Duration of Confidentiality Obligation
The obligations of confidentiality remain in effect for five (5) years from the date of contract termination, except for trade secrets, which will remain protected indefinitely.
9. ASSET TRACKING & SECURITY
9.1 iCloud & Location Tracking
Contractors acknowledge that all iPads, One Piece Solutions, cameras, and any other equipment used while under contract with Candid Capture Inc. will be subject to asset tracking and security measures. All iPads provided will be linked to the Company's iCloud account, allowing real-time location tracking for asset protection and operational management.
9.2 Purpose of Live Tracking & Customer Service Integration
Live tracking is primarily used to enhance operational efficiency and customer service. Contractors understand that:
Customer service representatives may use real-time location data to identify the nearest available photographer and direct last-minute or walk-up bookings to them.
This system allows for seamless communication between customer service and photographers, ensuring maximum sales potential while the photographer is actively working.
Contractors may receive additional booking opportunities while in the field, and their location data helps streamline customer inquiries, sales, and scheduling.
9.3 Recovery & Security Measures
Contractors understand that Candid Capture Inc. has implemented extensive recovery measures to protect its equipment and assets. If any provided equipment is lost, stolen, or removed from its assigned area without authorization, the Company reserves the right to:
Remotely lock, disable, or erase any iPads or One Piece Solutions to prevent unauthorized use.
Track and recover equipment using all legal means, including contacting local authorities if necessary.
Restrict the Contractor’s ability to work or receive further assignments until the issue is resolved.
Pursue financial liability for the replacement cost of any lost, stolen, or damaged equipment.
9.4 Unauthorized Removal, Tampering & Inspection
Contractors must not remove, reset, or tamper with the iCloud account, security settings, or tracking features on any iPads, One Piece Solutions, or other Company-provided equipment.
All provided equipment is equipped with security sensors that may detect tampering. If tampering is detected, the Contractor agrees to undergo an in-person inspection to verify the condition and integrity of the equipment.
The Company reserves the right to conduct random and or monthly inspections of all provided equipment to ensure compliance with Company policies. Contractors must cooperate fully during these inspections.
9.5 Contract Completion & Good Standing
Contractors who complete their contract on good terms may request the removal of Company tracking measures from their assigned equipment and may be eligible to retain ownership for use outside of candid capture’s scope of services. However, if a Contractor fails to fulfill their contract, Candid Capture Inc. will retain control over all provided equipment and pursue all legal measures to recover, disable, or reclaim Company assets.
10. MINIMUM PERFORMANCE REQUIREMENT
10.1 Session Requirement & Performance Expectation
Contractors acknowledge that Candid Capture Inc. operates in a fast-paced, high-volume environment. To ensure productivity and commitment, Contractors are required to complete a minimum of 20 sessions per week. This standard is considered reasonable, as it can be achieved in one hour when actively engaging with customers.
10.2 Failure to Meet the Minimum Requirement
If a Contractor fails to meet the 20-session weekly requirement, it will be considered a lack of effort and engagement in their role. In such cases:
Their contract may be terminated immediately at Candid Capture Inc.’s discretion.
All provided equipment (iPads, One Piece Solutions, cameras, etc.) must be returned within 72 hours of termination.
A termination fee of up to $2,000 may be assessed based on a performance review. The Company will evaluate factors such as effort, communication, and consistency before determining the final amount.
10.3 No Exceptions Without Prior Approval
Contractors cannot make excuses for not reaching the session minimum unless a legitimate reason is discussed and approved by the Company in advance.
If a Contractor anticipates difficulty in meeting the 20-session requirement, they must communicate with the Company before the start of the week to determine if an exception or alternative arrangement can be made.
10.4 Performance Tracking & Accountability
Candid Capture Inc. actively tracks each Contractor’s session count.
If a Contractor repeatedly falls short of the 20-session minimum, their continued participation with the Company may be reviewed for termination, even if they have not yet been formally removed.
